This secure dataroom (the “Dataroom”) is provided solely for the purpose of allowing authorised recipients (“Recipients”) to review information in connection with a potential transaction (the “Transaction”). By accessing the Dataroom, Recipients agree to the following terms:
Confidentiality
All documents, data and materials contained in the Dataroom (“Information”) are confidential and are provided strictly on a non-reliance basis. Recipients must not disclose, reproduce or distribute any Information.
Where you have entered into a separate confidentiality agreement with Aviva Investors Global Services Limited in connection with the Transaction, the terms of that confidentiality agreement shall prevail in the event of inconsistency with these terms.
No Offer or Commitment
The Information does not constitute an offer, invitation or recommendation to enter into any transaction. The provision of the Dataroom does not obligate the seller, its advisers or any related parties to proceed with the Transaction.
Accuracy & No Reliance
The Information is provided for convenience only, and it is agreed that:
- The Information cannot be relied upon
- The seller nor its advisers make any representation or warranty, express or implied, as to, or assume any responsibility for, the accuracy, reliability or completeness of any Information
- The seller nor its advisers have any responsibility, duty of care or liability whatsoever to recipients or any other person in respect of the Information
- Recipients will not bring any action or claim against the seller nor its advisers in connection with the Information
- Recipients must conduct their own independent investigations and take their own independent advice
- Neither the seller nor its advisers shall have any liability for any loss arising from the use of the Information
Use of the Dataroom
Access may be monitored. Login credentials are personal and must not be shared. The seller reserves the right to add, remove or amend documents, or revoke access at any time without notice.
Intellectual Property
All Information remains the property of the seller and/or its licensors. No rights are granted other than the limited right to review Information for evaluation of the Transaction.
Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales.
